Terms of Service
The agreement between you and Sunny Day for the use of our compute service.
1. The service
Sunny Day ("Sunny Day", "we", "us") provides on-demand compute infrastructure — Linux containers and virtual machines — billed on a subscription basis. By creating an account or subscribing you ("you", "the customer") agree to these Terms of Service.
2. Accounts
You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account. You must be legally able to enter into this agreement in your jurisdiction.
3. Subscriptions and plans
Compute is sold as subscription plans, each with a defined quota of instances, CPU, memory, storage, and egress. A subscription provisions exactly one project; its plan entitlements set that project's quota. Plans and prices are shown on our pricing page.
4. Billing and payment
Subscriptions are billed in advance, monthly or annually as you choose at checkout. Payment is processed by Stripe, our payment processor; Sunny Day never stores or handles your full card details. Applicable sales tax or VAT is added at checkout and on each invoice. Subscriptions renew automatically at the end of each billing period unless cancelled.
5. Cancellation and refunds
You may cancel a subscription at any time from the customer portal; cancellation stops future renewals. Refunds are governed by our Refund Policy, which includes a 7-day money-back guarantee.
6. Failed payments
If a renewal payment fails, we will retry it and notify you. If payment is not resolved within the grace period, the subscription may be suspended and, after a further period, cancelled. Suspended projects are retained for a limited period during which you can restore service by paying the outstanding amount.
7. Acceptable use
You may not use the service for unlawful activity, to infringe others' rights, to send spam, to mine cryptocurrency in violation of plan terms, or in any way that harms the service or other customers. We may suspend a project that violates this section.
8. Service availability
We work to keep the service available and reliable but do not guarantee uninterrupted operation. Planned maintenance and, occasionally, unplanned outages may occur. The service is provided "as is".
9. Limitation of liability
To the maximum extent permitted by law, Sunny Day is not liable for indirect, incidental, or consequential damages, or for lost data, lost profits, or business interruption. Our total liability for any claim is limited to the amount you paid for the service in the twelve months before the claim arose. You are responsible for maintaining your own backups.
10. Data and privacy
Our handling of your personal data is described in our Privacy Policy. Where you are an EU/EEA or UK customer, our Data Processing Addendum forms part of this agreement.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated to active customers before they take effect. Continued use of the service after a change takes effect constitutes acceptance.
12. Termination
You may stop using the service at any time by cancelling your subscriptions. We may suspend or terminate an account that breaches these Terms. On termination, data is handled per the retention periods in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Sunny Day is established. The specific governing-law jurisdiction and dispute- resolution venue are to be confirmed in legal review before launch.
